Infocrossing, Inc. (Infocrossing) is a provider of selective information technology (IT) outsourcing solutions to large and medium-sized commercial and government enterprises. Leveraging its data center infrastructure, Infocrossing takes over and manages all or part of customers' IT mainframe and non-mainframe operations. Customers utilize the Company's IT systems, personnel and processing expertise in order to reduce their operational and capital expenses, improve service delivery, scale their IT operations or implement new technologies. Generally, the Company's customer contracts are long-term, typically ranging from two to seven years with an average between three and four years. Infocrossing's services are organized into two primary solution areas: mainframe outsourcing services and non-mainframe services. On November 30, 2005, Infocrossing acquired Structure, LLC. Structure provides computing operations and managed infrastructure services to enterprise clients from data centers located in the central and western United States. Mainframe Outsourcing Services The Company's mainframe outsourcing solutions provide customers with a cost-effective, operationally superior alternative to running and managing a mainframe infrastructure in-house. Infocrossing combines the scalability and reliability of mainframe systems with management of, and access to, hardware, systems software and communications. The Company offers technologies, such as VTS, IBM's zSeries technology and Linux on the mainframe, to provide greater uptime and more efficiency for its customers. Infocrossing has experience in operating multiple computer systems running on different operating and complex enterprise environments, and provides high capacity in processing speed, connectivity and storage management solutions. Non-Mainframe Services and Solutions Infocrossing provides specialized support and outsourcing resources for customers that rely on AS/400 and iSeries computer systems. The Company operates, administers and maintains midrange systems, and has the expertise and flexibility to manage systems the way the customer chooses to have them managed. The Company provides on-site hosting and remote management of customers' hardware and software running on Linux, Unix and Windows servers for both Internet-based and other applications. Customers can choose from a range of options for their open systems, starting with basic on-site hosting all the way up to fully customized, fully managed services. This highly flexible approach makes it easy to support a variety of systems from a simple Website or database application, to a full-scale, multinational enterprise resource plan system. Business process outsourcing (BPO) involves customers contracting with the Company to perform functions that support their business, but are not their core competency. These functions, commonly called back-office processes, include services, such as healthcare claims processing, payroll, accounts receivable management, payment processing, logistics, data entry and customer care services. Back-office processes are often supported by an extensive IT infrastructure and Infocrossing leverages its IT infrastructure and personnel to support its business process outsourcing activities. The Company's BPO activities are dependent on its IT infrastructure and personnel. In connection with certain business process outsourcing activities, Infocrossing provides a variety of customized IT services, including the development of software to meet the IT processing requirements of particular customers. The Company manages the software application and retains ownership of the software it develops. The Company's e-mail security service provides customers spam blocking; virus scanning, identification and cleansing, and content filtering. The entire process is transparent to end users and creates an effective boundary around a customers' e-mail infrastructure that blocks unwanted e-mail and viruses from entering or leaving their corporate network thus ensuring compliance with corp
