Portal Software, Inc. (Portal), incorporated in 1985, develops, markets, provides and supports billing and revenue management solutions for global communications and media service providers. The Company's solutions are provided in the form of enterprise software and/or services and are used by service providers in the communications, broadband, and entertainment and information sectors to support voice, data, video and content services across wireless, wireline, cable and satellite networks. On April 11, 2006, the Company, Oracle Systems Corporation (Oracle), Potter Acquisition Corporation and a wholly owned subsidiary of Oracle Corporation entered into an agreement and plan of merger, under which Oracle Corporation will acquire all of the shares of the Company's common stock. The Portal software platform is designed to be a fully convergent revenue management solution that enables its customers to manage enterprise revenue in real-time across all customer types, services, payment methods, business models and geographies. It is designed to provide service providers with a view of their customers across all revenue streams, providing insight into their buying patterns and service preferences. The Company's platform is specifically designed to meet the provisioning, accounting, reporting and marketing needs of a range of communication and content services. Its integrated extensible platform enables service providers to define, price and bill for a range of convergent services. Because the Portal platform can be deployed in a modular fashion, it enables co-existence between legacy billing systems and new next-generation services. In addition to the basic Portal platform, the Company offers a number of optional modules that extend the platform for specific customer needs. Such options include modules for supporting multiple databases, maintaining high availability and fault tolerance, managing multiple brands, and connecting to various standard enterprise applications and payment processing and tax packages. Portal provides Engineered Solutions services to deliver additional functionality or features, which are not available in the Company's software products and are tailored to meet the customers' specific product or functionality needs. These services are generally provided on a fixed-price basis. Support services are designed to protect and maintain the customers' investment by providing a range of technical support services, timely maintenance updates, major and minor software releases and documentation. Customers have full access to myPortal, Portal's online support system, which enables access and download of information and also provides a central access point for submitting and tracking all their technical support activities. Portal Education offers Portal customers a series of role-based courses to ensure they are up to date on the latest Portal product capabilities and solutions. The curriculum provides basic and advanced courses to provide the right level of Portal training for new and experienced Portal customers. Portal instructors have an average of over five years of Portal product and training experience. Courses are available at regional Education Centers, or can be delivered at the customers' facilities. The Company provides localized versions of its solution in a number of languages, including English, traditional Chinese, simplified Chinese, French, German, Italian, Japanese, Brazilian Portuguese and Spanish.
