ElkCorp (Elk), incorporated in 1965, through its subsidiaries, is primarily engaged in the manufacture of Elk premium roofing and composite building products. Within the building products sector, the Company operates in two segments: Premium Roofing Products and Composite Building Products. The Premium Roofing Products segment manufactures premium laminated fiberglass asphalt shingles and accessory products, together with coated and uncoated non-woven fabrics used in asphalt shingles and other applications in the building, construction, filtration, floor coverings and other industries. The Composite Building Products segment manufactures composite wood decking, railing, marine dock, fencing and other original equipment manufacturer (OEM) products. Products from both of these segments are marketed under the Elk Premium Building Products brand name. Elk also has another segment Other, Technologies, which includes the operations of Chromium Corporation (Chromium) and Elk Technologies, Inc. Chromium is a provider of hard chrome and other surface finishes designed to extend the life of steel machinery components operating in abrasive environments. Elk Technologies, Inc. develops and markets fabrics featuring VersaShield fire retardant coatings designed for use outside of traditional building products applications, including bedding, home furnishings and other consumer products. On August 25, 2005, the Company acquired RGM Products, Inc., a manufacturer of hip and ridge and other roofing-related products. During the fiscal year ended June 30, 2005 (fiscal 2005), Elk sold substantially all of the assets of its subsidiary, Cybershield, Inc., which was engaged in shielding plastic enclosures from electromagnetic and radio frequency interference. In fiscal 2005, the Company also sold its subsidiary, Ortloff Engineers, LTD (Ortloff). (Ortloff) was engaged in licensing its technologies, and providing related engineering services to the natural gas processing industries, with particular emphasis on the natural gas liquids recovery, sulfur recovery and liquefied natural gas segments. Premium Roofing Products Segment The Company manufactures laminated fiberglass asphalt shingles and accessory roofing products for steep slope applications at plants located in Ennis, Texas; Shafter, California; Myerstown, Pennsylvania, and from two adjacent manufacturing facilities in Tuscaloosa, Alabama. Its shingle product line includes the Prestique Gallery Collection, Prestique Plus High Definition, Prestique I High Definition, Prestique High Definition, Raised Profile, Capstone, Domain Winslow and Prestique Grande High Definition. In fiscal 2005, Elk introduced Elk Cool Color Series shingles, which are composed of reflective granules that slow heat build-up. The Company also offers Prestique Xtra High Definition asphalt shingle. Elk also offers starter-strip products, Seal-a-Ridge, Z Ridge, RidgeCrest, Highpoint hip and ridge products, a built-in StainGuard treatment, roof accessory paint for vent flashings and other accessories. The Company's roofing products are sold primarily to roofing wholesale distributors throughout the United States. The Premium Roofing Products segment includes Elk's non-woven fabrics operation. The Company's non-woven fabrics subsidiary is a manufacturer of non-woven fiberglass shingle substrates and other products utilizing coated and uncoated non-woven fabrics formed from fiberglass, polyester, cellulose and blended base fibers. Coated non-woven fabrics have been developed by Elk for use in various building product applications, including roofing underlayment products, facer products and filtration products. Many of Elk's coated non-woven products utilize its VersaShield fire barrier coatings. During fiscal 2005, the majority of non-woven fabrics produced by Elk were used in the manufacture of residential and commercial roofing and accessory products, and of those, approximately two-thirds were consumed internally in the manufacture of Elk's asphalt shingle and accessory roofing products.
