Harold's Stores, Inc. and its wholly owned subsidiaries, through a chain of ladies' and men's specialty apparel stores in 19 states, offers apparel to consumers primarily in the 30 to 50-year-old age group. The Company also operates a direct business consisting of catalog and Internet. During the fiscal year ended January 28, 2006 (fiscal 2005), the Company's direct business represented approximately 4% of the total sales. More than 90% of sales consist of the Company's designs controlled by its own designers and merchants, and sourced by manufacturing staff from domestic, European and Asian manufacturers. As of January 28, 2006, the Company's 41 stores comprised 39 full-price retail stores and two outlet stores to clear markdowns and slow moving merchandise. The Company's merchandise mix in ladies' apparel includes coordinated sportswear, dresses, outerwear, shoes and accessories, in classically inspired styles. In fiscal 2005, ladies' apparel accounted for approximately 82% of sales. Handbags and belts accounted for 2.1% of sales, while shoes were 5.2% in fiscal 2005. The men's apparel product line includes tailored clothing, furnishings, sportswear, outerwear and shoes in classically inspired styles. In fiscal 2005, the Company's label apparel accounted for more than 95% of total men's sales. The majority of the men's label sales are in the Company's Old School Company and Harold Powell clothing lines. In fiscal 2005, men's apparel accounted for approximately 18% of sales. Sportswear and accessories accounted for 8.9% of sales and shoes were less than 1% of total sales in fiscal 2005. The Company's stores range in size from 3,000 to 13,402 square feet, with the typical store ranging from 4,000 to 6,000 square feet. The Company's product development and sourcing programs enable it to offer items not available in other stores or catalogs. The Company's private label merchandise consists of items developed by the Company and manufactured exclusively for the Company. The Company's development program is implemented through its offices in New York and Dallas, Texas and its association with independent agents in China, Italy, Turkey, Portugal and Greece. The Company imports a significant portion of its merchandise directly from the Far East and Italy.
