FiberMark, Inc., incorporated in 1989, is a producer of specialty fiber-based materials that meets industrial and consumer needs worldwide with facilities in the United States and Europe. The Company manufactures products, such as filter media; base materials for specialty tapes, electrical and graphic arts applications, wallcovering and sandpaper, and covering materials for office and school supplies, book production/publishing, printing and premium packaging. FiberMark's operations in Germany manufacture and market technical specialties, a product family that includes filter media, tape substrates, non-woven, wall-covering base and printing substrates. Materials produced or sold by FiberMark's operations in North America fit within three product families: publishing and packaging, office products and technical specialties. On March 22, 2005, FiberMark and its two wholly owned subsidiaries, FiberMark North America, Inc. and FiberMark International Holdings LLC (the Debtors), withdrew the Plan of Reorganization, dated December 17, 2004, on file in the chapter 11 case it had commenced on March 30, 2004. Also on March 22, 2005, FiberMark filed motions with the United States Bankruptcy Court, District of Vermont, to resolve certain issues and to reinstate the exclusivity period so the Company can formulate a Plan of Reorganization. German Operations FiberMark's operations consist of FiberMark Gessner, located in Bavaria, Germany, and FiberMark Lahnstein, located northwest of Frankfurt in Rhineland-Palatinate, Germany. The operations in Germany accounted for 48% of the Company's consolidated revenue during the year ended December 31, 2004. All of operations are reported in the technical specialties product family. Filter media, primarily for automotive/transportation and vacuum bag filtration, accounts for a portion of the Company's operations in Germany through FiberMark Gessner. Although FiberMark markets these products, the majority is sold within Europe, with business in Asia Pacific, the United States and Latin America. FiberMark competes with Ahlstrom Corp. (FiberComposites), Hollingsworth & Vose/Binzer, Monadnock Paper Mills, Inc., MB Papeleras Especiales S.A., Neenah Paper, Inc., Wausau-Mosinee Paper Corp., Paper Line S.p.A., Ahlstrom Corp., MeadWestvaco Corp., WORMS & Cie. (Arjo Wiggins) and Neu Kaliss Spezialpapier GmbH. North American Operations FiberMark's operations in North America accounted for 52% of its consolidated revenue during 2004. Publishing and packaging was the largest product family within the operations of FiberMark in North America, representing 42% of net sales during 2004. This product group was derived from the Company's April 2001 acquisition of Rexam DSI. FiberMark adds multiple coatings and embossing patterns to impart a range of decorative treatments to its latex-saturated decorative covering materials. FiberMark's colored saturated products are sold under a variety of trade names, including Kivar, Skivertex and Lexotone. In graphic white saturated grades, FiberMark operates in the higher end segments of the book cover and photo/scrapbook album markets. The Company's Kivar Performa Type 2 is used in textbook covers and is specified by state governments in the United States. The FiberMark Red Bridge, England, converting operation markets a line of coated cloth materials, specialty papers, non-woven materials and ancillary products to the bookbinding/book publishing, packaging and security markets. These products are marketed under the umbrella of the FiberMark Red Bridge name, and include products, such as Arbelave Library Buckram and Balmoral. The Company has developed niche markets for its latex-saturated products in applications, such as wallpaper. Technical specialties represented 23% of the net sales from the Company's operations in North America during 2004.
