DynTek, Inc. (DynTek), incorporated in May 1989, is a professional services firm and value-added reseller of hardware and software. The Company offers a range of multi-disciplinary information technology (IT) solutions that address the critical business needs of its clients, including IT security, converged networking, including voice-over Internet protocol (VoIP), application infrastructure and access infrastructure. DynTek's customers principally include mid-market commercial businesses, state and local government agencies, and educational institutions in the United States. Its primary operations are located in the states of California, New York, Florida and Michigan. The Company, operating principally through its subsidiary, DynTek Services, Inc., organizes its business into two primary segments: Information Technology Services and Business Process Outsourcing (BPO). During the fiscal year ended June 30, 2005, DynTek's mix of revenues was approximately 38% state and local government, 9% education and 53% commercial. Among its state and local government customers, the State of New York and its agencies accounted for approximately 12% of the total revenues and 14% of the Information Technology Services revenues. Generally, Dyntek's products and services are purchased by state agencies issuing their own purchase orders under master contract agreements between the Company and the related state government through which the agency is authorized to issue a valid purchase order. Approximately 72% of revenues generated from New York State agencies were from product sales and 28% were from sales of services. The State of Kansas Department of Social and Rehabilitation accounted for approximately 26% of the Company's BPO revenue for fiscal 2005. In September 2004, DynTek entered into a stock purchase agreement effective August 1, 2004 to acquire all of the outstanding common stock of Redrock Communications Solutions, Inc. (Redrock). Redrock is a provider of voice and data communications services principally in the Southwestern United States. In February 2005, DynTek and the Sellers entered into a Satisfaction and release agreement based on performance of the Redrock business through January 31, 2005. In October 2004, the Company entered into an agreement and plan of merger by and among the Company, ITI Acquisition Corp., a wholly owned subsidiary of the Company (Merger Sub); Integration Technologies, Inc. (ITI) and its shareholders, and a shareholder representative of DynTek. ITI is an IT professional services firm located in Southern California. On October 18, 2004, the Merger Sub was merged into ITI with ITI becoming a wholly owned subsidiary of the Company. In February 2005, DynTek and the ITI Shareholders entered into a satisfaction and release agreement based on performance of the ITI business through January 31, 2005. Information Technology Services IT services offered by the Company include IT security solutions, such as vulnerability assessments, risk assessments and enterprise security assessments; converged networking, or VoIP solutions; design through implementation; application infrastructure solutions, such as directory design and Microsoft Exchange migrations; access infrastructure solutions encompassing server based computing and remote access, among others, and general infrastructure support. DynTek provides these services through a combination of in-house engineers and consultants, and subcontracted third-party suppliers. The Company has 72 in-house IT engineers and consultants, and approximately eight third-party subcontractors that cumulatively supplied approximately 21 engineers and consultants who provided services to its clients during fiscal 2005. In connection with its service offerings, DynTek sells hardware and software to its clients.
