Midway Games Inc. (Midway Games), incorporated in 1988, develops and publishes interactive entertainment software. The Company's games are available for play on generation home videogame consoles and handheld game platforms, including Sony's PlayStation 2 computer entertainment system, Microsoft's Xbox and Nintendo's GameCube and Game Boy Advance. Midway Games also produces games for personal computers (PCs) although games for this market comprise only a small part of its business at this time. The Company's titles include many of the game genres, such as action, adventure, driving, extreme sports, fighting, horror, role-playing, sports, shooting and strategy. Midway Games' videogames include Mortal Kombat, The Suffering, NBA Ballers, MLB SlugFest, SpyHunter, NHL Hitz, Ready 2 Rumble Boxing, Hydro Thunder, San Francisco Rush Extreme Racing, NFL Blitz, Area 51, Cruis'n USA, NBA Jam, Rampage, Gauntlet, Joust, Defender, Centipede, Asteroids and Pong. In 2004, Midway Games acquired three privately held software development companies, Surreal Software, Inevitable Entertainment and CWS Entertainment Ltd., doing business as Paradox Development. Surreal Software developed The Suffering, a title that Midway Games released in North America in March 2004. Inevitable Entertainment is developing Area 51, a title scheduled for release in 2005 on consoles and the PC platform while CWS Entertainment Ltd. is developing Mortal Kombat: Shaolin Monks, an extension of Midway Games' Mortal Kombat franchise into the action-adventure genre. Many of the Company's games incorporate a variety of online capabilities and features. Midway Games also licenses wireless rights to some of its games to third parties who create and sell videogames for cell phones, personal digital assistants and other wireless devices based on its properties. From time to time, the Company has purchased distribution rights to games under development by third parties. Some of these games are sequels to games that have previously been successfully released. Midway Games released Mortal Kombat: Deception, Midway Arcade Treasures 2, MLB Slugfest: Loaded, NBA Ballers, Psi-Ops: The Mindgate Conspiracy, Shadowhearts: Covenant and The Suffering in North America in 2004. The Company also released Mortal Kombat: Deception, Midway Arcade Treasures 2, NBA Ballers, Midway Arcade Treasures, Psi-Ops: The Mindgate Conspiracy, SpyHunter 2 and The Suffering for the international market. Midway Games markets its videogames under the Midway trademark. The Company markets to over 20,000 stores (about half that many for PC games), including mass merchandisers, foreign, national and regional retailers, discount store chains, video rental retailers and entertainment software distributors and re-sellers. The Company's principal customers are mass merchandisers, such as Wal-Mart, Best Buy and Target and software specialty retailers, such as Gamestop and Electronics Boutique. In 2004, its two largest customers were Wal-Mart and Gamestop, representing 16% and 10.5% of its total revenues, respectively. Midway Games competes with Nintendo, Microsoft, Sony, Acclaim, Activision, Atari, BAM, Capcom, Eidos, Electronic Arts, Konami, Lucas Arts, Namco, Sega, Take-Two Interactive, THQ and Ubi Soft.
