Traffic.com, Inc., formerly known as Mobility Technologies, Inc., incorporated on October 23, 1998, delivers real-time, customizable traffic flow and incident information in metropolitan areas in the United States. Its traffic flow information includes vehicle speeds, travel times and delay times. The Company's solution is designed to enable drivers to make decisions as to route selection and departure times. Traffic.com, Inc.'s Traffic Information Management System (TIMS) allows it to collect and analyze traffic information on a real-time basis, converts all of the collected data into a standard digital format and deliver this information across multiple media formats. Traffic.com, Inc. provides traffic content to terrestrial and satellite radio stations and television stations. It also provides personalized traffic information to consumers via its www.traffic.com Website, in-vehicle navigation systems, wireless devices, such as cell phones, and desktop applications. In addition, it makes its traffic information available to third parties for use in their own products. The Company provides traffic information for 35 metropolitan areas in the United States, covering approximately 64 million commuters, in cities, such as Boston, Chicago, Houston, Los Angeles, New York, Philadelphia, San Diego and San Francisco. Traffic.com, Inc. collects traffic flow data using its own sensor network, as well as government-owned sensors. The Company's network of real-time traffic sensors covers approximately 23,000 lane miles of roadway. Traffic.com, Inc. complements its sensor data with incident and event information gathered using collection methods, such as aircraft, video feeds and emergency frequency scanners. Radio Through Traffic.com, Inc.'s Traffic Pulse Broadcaster application, it provides traffic information to radio stations, including travel times, speeds and incident information, by means of a user interface that is customized by the traffic announcer. The Traffic Pulse Broadcaster allows each announcer to prioritize incidents, select the items for broadcast and create custom reports just prior to going on air. Delivered via a standard Web browser, Traffic Pulse Broadcaster requires no special equipment or wiring. If requested by the Company's radio station customers and for an additional charge, it provides its own broadcast talent for that station's reporting and offsite broadcast studios. In addition, as of September 30, 2005, Traffic.com, Inc. provided to 34 of its radio station customers its affiliate Web offering, a Traffic.com-hosted Web page designed and maintained by the Company to fit with the overall look and feel of the radio station's own Website. These affiliated Websites provide the Company's customers' radio listeners the same traffic information on their Website, as well as the Company's personalized traffic information services. As of September 30, 2005, Traffic.com, Inc. provided traffic information services to 109 radio station customers and had contractual relationships to purchase advertising time for cash from an additional 267 radio stations. Generally, the purchased advertising time is adjacent to informational programming elements, such as news, weather, sports, entertainment or traffic reports. The Company's radio station customers include radio groups, as well as locally owned stations. In January 2004, Traffic.com, Inc. entered into an agreement to provide traffic information from its Traffic Pulse Broadcaster application to XM Satellite Radio Holdings, Inc. for 21 metropolitan markets on an around-the-clock basis. Traffic.com, Inc. has developed the capability to broadcast into high-definition (HD)-capable devices, including specialized radio devices, in-vehicle navigation systems and position navigation devices (PNDs).
