The SCO Group, Inc., incorporated in August 1998, owns the UNIX operating system and is a provider of UNIX-based products and services. The Company's core business is to sell and service its UNIX software products to small to medium-sized businesses and franchisees or branch offices of Fortune 1000 businesses. The SCO Group, Inc.'s products that drive majority of its UNIX revenue are OpenServer and UnixWare. The Company developed its SCOsource business to establish and protect its intellectual property rights, particularly relating to the Company's ownership of the UNIX source code. UNIX Business The SCO Group, Inc. provides a range of pre and post-sale technical support for all of its products, primarily focusing on OpenServer and UnixWare. It also provides UNIX-based technical support services and consulting services. The Company's largest source of revenue for its core UNIX business is derived from its worldwide, indirect, leveraged channel of partners, which includes distributors and independent solution providers (resellers). The other principal channel for selling and marketing the Company's products is through corporations, which has a number of branch offices or franchisees. The SCO Group, Inc. also sells its UNIX products to original equipment manufacturers (OEMs). During the fiscal year ended October 31, 2005, The SCO Group, Inc. released OpenServer 6, an upgrade to its existing OpenServer product line and maintained the Company's UnixWare product. OpenServer is its UNIX-based offering targeted at small to medium businesses. OpenServer excels at running multi-user, transaction and business applications, communications gateways, and mail and messaging servers in both host and client/server environments. UnixWare is its UNIX-based offering targeted at medium-size businesses and enterprise customers. UnixWare is a deployment platform for Intel processor systems. UnixWare includes enhancements and refinements to the UNIX platform, representing added value for existing UnixWare customers. The SCO Group, Inc. also offers product maintenance and additional UNIX-related products. The Company provides a range of pre and post-sale technical support for all of its products, primarily focusing on OpenServer and UnixWare. The Company provides technical support to its partners, including resellers, hardware and software vendors, and solution providers, as well as directly supporting its end-user customers. Technical support services include a range of options from single incident email and telephone support to enterprise level support agreements. Its other services include software development and programming, migration tools and services and assisting customers with modernizing and integrating legacy applications with Web services. The SCO Group, Inc. assists its end-user customers and solution providers in planning, creating, implementing and deploying business application solutions. SCOsource Business The UNIX licenses obtained by The SCO Group, Inc. has led to the development of several UNIX-based operating systems, including the Company's own UnixWare and OpenServer products, International Business Machines Corporation's (IBM) AIX, Sequent Computer Systems, Inc.'s (Sequent) DYNIX/Ptx, Sun Microsystems, Inc.'s (Sun) Solaris, SGI's IRIX and Hewlett-Packard's (HP) HPUX. These operating systems are all derivatives of the original UNIX source code owned by the Company. The SCOsource intellectual property (IP) license permits the use of its UNIX intellectual property, in binary form only, as contained in the Linux operating system. The SCOsource IP license was created to provide a licensing program for those in the industry using the Company's UNIX intellectual property to allow them to continue to run their critical business solutions running in other environments. The Company competes with IBM, Red Hat Inc., Novell, Inc., HP, Microsoft Corporation and Sun.
