American Home Mortgage Investment Corp. (AHM) is engaged in the business of investing in mortgage-backed securities and mortgage loans resulting from the securitization of residential mortgage loans that its subsidiaries originate and service. AHM also invests in securitized mortgage loans originated by others. Most of the Company's portfolio consists of securitized adjustable-rate mortgage (ARM) loans that are of prime quality. In addition to investing in securitized mortgage loans, AHM is also engaged in the businesses of originating and selling mortgage loans to institutional investors for a profit, as well as servicing mortgage loans owned by others. The Company offers a range of mortgage products that aim to meet the mortgage needs of primarily high-credit-quality borrowers. Its product line includes ARMs, conventional conforming fixed-rate loans, alternate A loans, jumbo fixed-rate loans, home equity or second mortgage loans, government-fixed rate loans, non-prime loans, construction loans and bridge loans. At December 31, 2005, AHM held a leveraged portfolio of mortgage loans held for investment and mortgage-backed securities in the amount of approximately $14.1 billion in order to generate net interest income and serviced approximately 158,000 loans with an aggregate principal amount of approximately $30.7 billion. At December 31, 2005, AHM operated more than 600 loan production offices located in 45 states and the District of Columbia, and made loans throughout all 50 states and the District of Columbia. The Company originated approximately $45.3 billion in aggregate principal amount of loans in 2005. AHM is organized and operates as a real estate investment trust (REIT) for federal income tax purposes, and its corporate structure includes both qualified REIT subsidiaries (QRSs) and taxable REIT subsidiaries (TRSs). The Company conducts most of its investment activities, including loan origination for its own portfolio, directly or through its QRSs. AHM conducts its businesses of originating loans for sale and servicing mortgages, as well as ancillary businesses, such as mortgage reinsurance, in its TRSs. In addition, the Company's TRSs operate its retail and mortgage broker acceptance branches where AHM accepts mortgage applications from consumers.
