In October 2000, Reeves Southeastern Corporation, a wholly owned subsidiary of Diamond Home Services, Inc. entered into an asset purchase agreement with Master-Halco, Inc. In accordance with the terms of the transaction, Master-Halco would purchase substantially all of the assets (and assume substantially all of the liabilities) of the Reeves. Diamond Home Services, Inc., through Reeves, was engaged in the manufacture and distribution of fencing and perimeter security products to the industrial and residential markets in the United States, as of March 22, 2000. In addition, Reeves furnished and installed private-label fencing home improvement products.
