Kellwood Company markets women's and men's sportswear, infant apparel and recreational camping products. The Company offers branded, as well as private-label products, and markets to all channels of distribution with product specific to the particular channel. Kellwood markets products under many brands, some of which are owned by the Company, and others are used by the Company under licensing agreements. Most of Kellwood's products are purchased from foreign contract manufacturers. Approximately 78% of its products are sourced from contract manufacturers, primarily in the Eastern Hemisphere. Kellwood has established Kellwood Trading Limited (KTL), a Far Eastern sourcing infrastructure based in Hong Kong. KTL provides sourcing only to Kellwood divisions. The Company has also acquired Smart Shirts Limited, a shirt manufacturer in the Far East. Since its acquisition, Smart Shirts has diversified its manufacturing capabilities from its principal base of Hong Kong to China, Sri Lanka and the Philippines. The Company's divisions are aggregated into three major consumer market product groupings: Women's Sportswear, Men's Sportswear and Other Soft Goods. During the fiscal year ended January 28, 2006 (fiscal 2005), Kellwood sold the Biflex and Dotti operations and shut down the remaining operations making up its Kellwood Intimate Apparel Group (Intimate Apparel) division; sold the David Brooks operation and shut down the remaining operations making up its Kellwood New England division, and shut down its Private Label Menswear (which does not include the Smart Shirts subsidiary) division. The Company also restructured its Oakland Operation by exiting several labels to focus on developing the Koret brand. Women's Sportswear The Women's Sportswear Group designs, merchandises and sells women's sportswear sold through retailers in all channels of distribution. Product lines include blazers, dresses, sweaters, blouses, vests, other tops, skirts, pants and shorts. The business is primarily branded goods sold at the popular-to-moderate price points, but the segment does include some better-to-bridge lines to upper price point women's sportswear sold principally to specialty stores, department stores and catalog houses. Brands owned by the Company include Sag Harbor, Koret, Dorby, My Michelle and Briggs New York. Calvin Klein, XOXO, IZOD, Liz Claiborne Dresses, and Suits and David Meister are women's sportswear brands sold under licensing agreements. Sales of women's sportswear accounted for 60% of the Company's consolidated revenue from continuing operations in fiscal 2005. Men's Sportswear The Men's Sportswear Group designs, manufactures and sells men's woven and knit shirts, pants and jeans sold to department stores, catalog houses and chains. The business is primarily private label but also includes a number of branded programs, such as Slates business casual shirts, sweaters and tops; Nautica, Claiborne and Dockers dress shirts, and Phat Farm and Northern Isles sportswear. Sales of men's sportswear accounted for 24% of the Company's consolidated revenue from continuing operations in fiscal 2005. Other Soft Goods The Other Soft Goods Group designs, merchandises and sells infant apparel and recreation products (tents, sleeping bags, backpacks and related products). The business is primarily branded goods, including Kelty and Sierra Designs for recreation products and Gerber for infant apparel. Sales of Other Soft Goods accounted for 16% of the Company's consolidated revenue from continuing operations in fiscal 2005. The Company's competitors include Jones Apparel Group Inc., Liz Claiborne Inc., V.F. Corporation, Polo Ralph Lauren Corp. and Tommy Hilfiger Corp.
