Primus Telecommunications Group, incorporated in February 1994, is an integrated telecommunications services provider offering a portfolio of international and domestic voice, wireless, Internet, voice-over Internet protocol (VOIP), data and hosting services to business and residential retail customers and other carriers located primarily in the United States, Australia, Canada, the United Kingdom and Western Europe. The services Primus Telecommunications offers can be classified into three main product categories: voice, data/Internet and VOIP services. The Company's operations are organized into four geographic areas: United States and Other, Canada, Europe and Asia-Pacific. The United States and Canadian operating markets are the significant portions of its North America market, and the Australian market is the substantial portion of the Asia-Pacific market. The Company provides international long-distance voice services terminating in over 240 countries, and domestic long-distance voice services in its core operating markets. It offers retail and wholesale VOIP services to Internet service providers (ISPs), telecommunications carriers worldwide and retail customers both over the public Internet, as well as direct point-to-point VOIP services over its ATM+IP network. Primus Telecommunications offers asynchronous transfer mode (ATM), frame relay and Internet/IP services, which are available to customers in the United States, Australia, Canada and the United Kingdom. In selected countries, the Company provides call reorigination services, which allow non-United States country to country calling to originate from the United States. With the build-out of the Australia and Canada digital subscriber network (DSL) networks, the Company offers local services as a facilities-based carrier. It also offers local service on a resale basis, primarily in Australia and Canada. United States The United States is one of four primary markets, representing 17% of the Company's net revenues, during the year ended December 31, 2005. Primus Telecommunications provides international and domestic voice, data, Internet and VOIP services to small and medium-sized enterprises (SMEs), residential customers, multinational corporations and other telecommunication carriers. In 2005, it began to provide wireless service on a resale basis. The Company operates international gateway telephone switches in the New York City area and Los Angeles, which are connected with Canada and countries in Europe, Latin America and the Asia-Pacific region through owned and leased international fiber cable systems. In 2005, Primus Telecommunications deployed switch technology, the Company's intelligent softswitch architecture and gateways, in New York, Los Angeles and Puerto Rico. The Company leases and owns domestic fiber in the United States to interconnect its switches, data centers and points of presence (POPs). The Company also provides managed and shared Web hosting services through data center located in Lynn, Massachusetts. Additionally, it provides local and international long-distance voice services, VOIP and Internet services in Puerto Rico. The Company competes with AT&T and Verizon. Australia Primus Telecommunications is a fixed-line telecommunications carrier and ISP in Australia. The Australian operations represented 29% of the Company's 2005 net revenue. Primus Telecommunications offers a range of voice, data, Internet and Web hosting products, servicing both residential and business sectors. The Primus network offers nationwide coverage through its own backbone network facilities in 66 cities across Australia. The network enables the Company to provide nationwide long-distance services and local call Internet access.
