UAP Holding Corp. (UAP) is a distributor of agricultural inputs and professional non-crop products in the United States and Canada. It markets a line of products, including chemicals, fertilizer and seed to farmers, commercial growers and regional dealers. In addition to agricultural input product offering, it provides an array of value-added services, including crop management, biotechnology advisory services, custom blending, inventory management and custom applications of crop inputs. It also operates in the professional non-crop markets that consist of turf and ornamental (golf courses, resorts, nurseries, and greenhouses), pest control operators, forestry and vegetation management. UAP's customers include farmers, commercial growers and regional dealers, as well as consumers in professional non-crop markets. The Company operates distribution centers and locations serving retailers, growers, and professional non-crop customers. Retail centers typically service end users within a 10 to 50-mile radius of their locations. It operates retail centers in various crop-producing regions of the United States. It operates a network of approximately 340 distribution and storage facilities, and three formulation plants, located in various crop-producing areas of the United States and Canada. Its integrated sales network offers over 43,000 active stock keeping units (SKUs), supported by approximately 1,100 sales professionals. It distributes products manufactured by chemical companies, including BASF, Bayer, Dow AgroSciences, DuPont, Monsanto and Syngenta. It also distributes products from hundreds of other agricultural and professional non-crop product suppliers. In addition to products purchased from third parties, it markets approximately 220 proprietary and private-label branded products, under the Loveland Products, Inc. (LPI) and Dyna-Gro brand names. Sales of chemicals to both agricultural and professional non-crop customers represent a significant portion of UAP's business, accounting for approximately 60% of net sales during the fiscal year ended February 26, 2006 (fiscal 2006). It distributes a full range of chemicals, including herbicides, insecticides, fungicides, adjuvants and surfactants. It also provides a variety of services related to the application of certain chemicals. UAP distributes a range of fertilizer products, including nitrogen, potassium and phosphorous, as well as various micronutrients, such as iron, boron and calcium. It also provides fertilizer application services and customized fertilizer blending for the specific needs of individual growers. Fertilizers accounted for 25% of the net sales during fiscal 2006. UAP provides a range of seed and seed treatments to growers through its distribution centers. Many of the seed products are sourced from seed companies and sold both under their brand names and UAP's private labels. Chemicals are often bundled with complementary seed products. Sale of seeds represented 13% of net sales during fiscal 2006. The Company's distribution centers provide agronomic services to growers, which range from traditional custom blending and application of crop nutrients to meet the needs of individual growers, to services, such as soil sampling, pest level monitoring and yield monitoring, using global position systems satellite grids and satellite-linked variable rate spreaders and applicators to analyze the data. UAP launched a crop and soil nutritional service called NutriScription that provides specific recommendations for a customer's crop or turf needs. The professional non-crop products business is a niche market and requires different service levels. UAP services these markets from locations that lie close to suburban areas or leisure centers. UAP coordinates the marketing, registration and regulatory affairs, sourcing, formulation and packaging operations for its proprietary and private-label products.
