Inverness Medical Innovations, Inc. develops, manufactures and markets in vitro diagnostic products for the over-the-counter (OTC) pregnancy and fertility/ovulation test market and the professional rapid diagnostic test market. In addition, the Company manufactures a variety of vitamins and nutritional supplements that Inverness Medical Innovations markets under its brands and those of private-label retailers in the consumer market primarily in the United States. The Company is exploring opportunities for its lateral flow, electrochemical and other technologies in a variety of professional diagnostic and consumer-oriented applications, including immuno-diagnostics with a focus on women's health, cardiology and infectious disease. Inverness Medical Innovations operates in three segments: consumer diagnostic products, vitamins and nutritional supplements, and professional diagnostic products. In February 2006, Inverness Medical Innovations entered into an acquisition agreement with ACON Laboratories, Inc. and acquired majority of the capital stock of CLONDIAG chip technologies GmbH, a private company, which has developed a multiplexing technology for nucleic acid and immunoassay-based diagnostics. Consumer Diagnostic Products The segment targets the OTC pregnancy and fertility/ovulation test market. The pregnancy and fertility/ovulation tests display visual results in approximately one minute or three minutes depending on the product. The kits provide 24 to 48 hours notice of when ovulation is likely to occur. The Company offers premium branded products, value branded products and private-label diagnostic products. The premium brand includes Clearblue home pregnancy Clearblue Easy Digital pregnancy and fertility/ovulation prediction tests. Inverness Medical Innovations also offers the Clearblue Easy Fertility Monitor, a hormone-based reusable monitoring device available for home use to assist women attempting to conceive. This product, which is sold the United States and Canada, not only detects the surge of the luteinizing hormone (LH), which causes ovulation, but also identifies additional days when a woman may conceive by detecting a rise in estrogen levels that precedes the LH surge. The Fact plus and Accu-Clear brands are marketed to value-oriented consumers. Inverness Medical Innovations supplies Pfizer with both the digital and non-digital versions of its e.p.t brand pregnancy tests. It also sells Persona, a diagnostic monitoring device that provides for a natural method of contraception by allowing the user to monitor her menstrual cycle, in Germany and the United Kingdom. Customers include retail drug stores, drug wholesalers, groceries and mass merchandisers in North America, Europe and Japan, such as Walgreens, CVS, Wal-Mart and Boots. The consumer diagnostic products are manufactured at facilities in Bedford, England; Shanghai, China, and San Diego, California. The Bedford facility is used to manufacture the diagnostic test portion of Clearblue Easy Digital products, and the non-digital and digital e.p.t pregnancy tests for Pfizer. The electronic portion of digital pregnancy and ovulation prediction tests, the Clearblue Easy Fertility Monitor and Persona from third-party suppliers in Europe and China. In this segment, the Company competes with Church & Dwight, Pfizer, ACON Laboratories, Omega Pharma, Princeton BioMeditech, Arax, Rohto and Syntron Bioresearch. Vitamins and Nutritional Supplements Inverness Medical Innovations's subsidiary, Inverness Medical Nutritionals Group (IMN), is a national supplier of private-label vitamin and nutritional products for major drug and food chains, and also manufactures bulk vitamins, minerals, nutritional supplements and OTC drug products under contract for unaffiliated brand name distributors. IMN also manufactures an assortment of vitamin, mineral and nutritional supplement products for sale under Inverness Medical brand names. The Inverness Medical branded nutritional products are sold through national and regional drug stores, groceries a
